1. Acceptance of Terms
By accessing or using the Palladium First Corp. Portal at portal.palladiumfirst.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
2. Description of Service
The Service is a secure data management portal operated by Palladium First Corp. ("Company"). It provides a centralized database for collecting, storing, and managing independent contractor information.
The portal allows contractors to submit and update their personal details, tax information (SSN, W-9), banking details, and identity documents. The Company uses this information to maintain accurate contractor records and syncs relevant data to QuickBooks Online for payment processing and 1099 tax filing.
The Service is not a payroll system. It does not process payments, calculate wages, withhold taxes, or generate pay stubs. All payment processing is handled by QuickBooks Online, the Company's payroll provider.
3. Account Registration and Security
- Access to the Service is by invitation only. You must receive a valid registration link from an authorized Company representative.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
- You must immediately notify the Company of any unauthorized use of your account at [email protected].
- The Company reserves the right to deactivate accounts that show signs of unauthorized access or suspicious activity.
4. User Responsibilities
You agree to:
- Provide accurate, current, and complete information when submitting your personal details, tax information, and banking information.
- Promptly update your information through the portal if it changes.
- Not share your login credentials with any other person.
- Not attempt to access data belonging to other users or circumvent the Service's security measures.
- Use the Service only for its intended purpose of managing your contractor information with the Company.
You acknowledge that inaccurate information may result in delayed payments, incorrect tax filings, or other issues with your contractor relationship.
5. Sensitive Data
The Service collects sensitive personal information including Social Security Numbers, bank account details, and identity documents. By using the Service, you consent to the collection, encrypted storage, and processing of this information as described in our Privacy Policy. This data is collected solely for the purposes of managing your contractor relationship and complying with tax obligations.
6. Intellectual Property
The Service, including its design, code, and content, is owned by Palladium First Corp. and protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.
7. Prohibited Activities
You may not:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to other accounts, systems, or networks connected to the Service
- Upload malicious code, viruses, or any harmful content
- Interfere with or disrupt the Service or its infrastructure
- Use automated tools (bots, scrapers) to access the Service
- Submit false or fraudulent information
8. Termination
The Company may suspend or terminate your access to the Service at any time, with or without cause, including but not limited to: termination of your contractor relationship, violation of these Terms, or security concerns. Upon termination, your right to use the Service ceases immediately.
Termination of your portal access does not affect any data retention obligations described in our Privacy Policy.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
The Company does not warrant that the Service will be uninterrupted, error-free, or completely secure, although we implement commercially reasonable security measures as described in our Privacy Policy.
The Company is not responsible for any errors, delays, or issues in payment processing by QuickBooks Online or any other third-party service.
10. Limitation of Liability
To the fullest extent permitted by law, Palladium First Corp. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to loss of income, data loss, or unauthorized access to your information.
In no event shall the Company's total liability exceed one hundred dollars ($100).
11. Indemnification
You agree to indemnify, defend, and hold harmless Palladium First Corp. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your submission of inaccurate or fraudulent information; or (d) your violation of any applicable law.
12. Dispute Resolution
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted in the State of New York. Each party shall bear its own costs of arbitration unless the arbitrator determines otherwise.
Class action waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
13. Force Majeure
The Company shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure outages, cyberattacks, or failures of third-party service providers.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email or through the portal. Continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
16. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Palladium First Corp. regarding your use of the Service and supersede any prior agreements or understandings.
